E.ON and municipal buyer consortium Integra/KOM9 to agree on parameters of Thüga sale

In August 2009, E.ON and Integra/KOM9, a consortium made up of municipal utilities, have reached agreement on the sale of Thüga AG, a wholly owned subsidiary of E.ON Ruhrgas that holds 90 minority stakes, making it Germany's largest network of municipal energy utilities. The consortium consists of Integra (association of Stadtwerke Hannover AG, Mainova AG, N-ERGIE Aktiengesellschaft) and KOM9 GmbH & Co. KG (consortium of 45 municipal utilities). Each partner of Integra will each acquire approximately 20.75% of the shares. KOM9 will acquire approximately 37.75% of the shares.

Including all its stakes, the Thüga Group supplied natural gas to about 2.9 M customers in 2008 (sales of 158 TWh), electricity to about 3.5 M customers (sales of 38 TWh).

Thüga's stakes in GASAG Berliner Gaswerke AG (37%), HEAG Südhessische Energie AG (40%), Stadtwerke Duisburg (20%), and Stadtwerke Karlsruhe (10%) will be transferred to E.ON Ruhrgas. These stakes will be sold immediately after the conclusion of the Thüga transaction. The agreed-on cash purchase price for this smaller version of Thüga is about €2.9bn.

The transaction, which received the consent of the German Federal Cartel Office, was completed in December 2009.
