US midstream company Williams acquires Momentum Midstream in USD6bn deal

US midstream company Williams has agreed to acquire Momentum Midstream in a transaction valued at up to USD5.5bn, comprising USD3.5bn in cash and debt consideration and USD 2 bn in Williams equity (Williams, 03/08/2026). 

Momentum's assets include more than 4,000 miles (6,400 km) of pipelines, gathering systems with a combined capacity of 6 bcf/d (62 bcm/year), processing and treating facilities, and three take-or-pay pipelines with a total transportation capacity of 4.05 bcf/d (42 bcm/year). Williams also announced two expansion projects linked to the acquisition: 

  • The Delta Access project, valued at USD 1.5 bn, will provide an initial capacity of 2.25 bcf/d (23 bcm/year) and is expected to enter service in 2029. 

  • The Shelby Trough Connector project will add 750 MMcf/d of initial capacity, expandable to 1.5 bcf/d (15.5 bcm/year), with commissioning expected in 2028.

The acquisition will strengthen Williams' position in the Haynesville shale basin, a key supply source for growing LNG, power and industrial demand along the US Gulf Coast. 

Williams operates one of the largest natural gas infrastructure networks in the US, with approximately 33,000 miles (53,000 km) of pipelines across 24 states. The company transports around one-third of US daily natural gas consumption, including through the Transco system, an interstate pipeline linking key producing basins, including Appalachia and the Haynesville, with demand centres along the US East Coast, Gulf Coast LNG terminals, power plants and industrial consumers.
